GENERAL TERMS AND CONDITIONS OF SALE
These general terms and conditions of sale or service set forth the rights and obligations of Melcyden France Sarl, hereinafter called Melcyden, and the buyer. All services or sales imply the buyer’s unconditional acceptance of these general terms and conditions. Special conditions granted to the buyer apply only after written confirmation by Melcyden. In the absence of a written response from Melcyden, the conditions requested by the client shall be deemed not accepted and may never be tacitly confirmed.

Prices
Prices for services and goods sold are those in effect on the date the order is placed. They are expressed in euros and exclude taxes. Consequently, they will be increased by the applicable VAT rate and shipping costs at the time of the order. Melcyden France reserves the right to modify its prices at any time. However, it commits to billing the services and goods ordered at the prices indicated when the order is recorded or the quotation is issued.

Quotations
Sales and repair quotations are valid for 30 days from the date of issue.

Unclogging and Leak Adjustments
Unclogging and leak adjustments are carried out without prior agreement on the quotation.

Repairs
The client must clean, decontaminate, and sterilize the products before sending them to Melcyden for repair.
Repair quotations are prepared exclusively for products not included in the fixed-price packages or when parts not included in the packages need to be replaced. They are free when accepted; refused quotations will be automatically discarded at no cost unless the client requests the return.

For products of the Woodpecker brand, refused quotations or those with no response within 2 months from the quotation date will be returned unrepaired with prepayment of €47 excluding VAT plus shipping costs.
Returns of unrepaired equipment will be invoiced with prepayment, according to the following rates, including registration, traceability, and technical expertise fees:

• €47 excluding VAT for each rotary instrument and curing light, plus shipping costs.

• €97 excluding VAT for each small equipment, plus shipping costs.

• €150 excluding VAT for each prophylaxis unit, plus shipping costs.

Unrepaired rotary instruments are returned disassembled.
Small equipment and prophylaxis units are returned assembled and must not be used as they are out of standard.
Melcyden disclaims all liability in case of use of a non-repaired or non-compliant product.

Warranty Period on Repairs
The rotor claw of turbines is guaranteed for 12 months; all other repairs are guaranteed for 6 months except for parts and consumable components subject to normal wear.

Warranty Exclusions
The warranty does not cover failures resulting from mishandling, drops, inadequate maintenance, poor lubrication, excessive wear, limescale buildup, or corrosion.
Sprays are checked in our workshop during final tests and are never covered by the warranty.
Unclogging services are never covered by the warranty.
Spare parts supplied by Melcyden but not installed by Melcyden are not guaranteed.

Warranty Limitations
The warranty is limited to repair or replacement of defective parts with identical or similar parts after verification. A warranty intervention does not entail loan, partial or total replacement of the equipment under repair, nor any compensation. All other claims are excluded.

Disposal of Products
If products remain unclaimed or unpaid after 6 months from the first quotation sending date (except Woodpecker products, for which the maximum period before automatic return is 2 months), Melcyden reserves the right to dispose of them without notice. This action does not engage Melcyden’s liability toward the client, and no refund or compensation will be due.

Payment Terms
Payment for products or services provided by Melcyden must be made before shipment of any goods.
Payment can be made by bank transfer, credit card, or check.

Discount
No discount will be granted for early payment.

Late Payment
Any payment not made by the agreed due date will incur late payment penalties calculated as follows: the interest rate applied by the European Central Bank at its last refinancing operation, plus 10 percentage points at the due date. These penalties are payable the day after the due date, without prior reminder or formal notice. Additionally, collection fees of €40.00 will be charged, even without protest or formal notice, pursuant to articles 441-6, I paragraph 12 and D. 441-5 of the French Commercial Code.

Resolutory Clause
In case of non-payment within fifteen days following the application of the "Late Payment" clause, the sale will be automatically terminated and may give rise to damages in favor of Melcyden France.

Retention of Title Clause
Melcyden France retains ownership of the goods sold until full payment of the price, both principal and accessories. Despite this retention of title, the risks related to the products transfer to the buyer upon delivery. In case of default of payment at the due date, Melcyden France reserves the right to recover the delivered goods and terminate the contract. In case of bankruptcy or judicial liquidation of the buyer, Melcyden France reserves the right to claim unpaid goods within the collective procedure.

Delivery
Delivery times are indicative and not guaranteed. Any delay, regardless of its length, does not entitle the buyer to damages or cancellation of the order. Shipping, packaging, and insurance costs are borne by the recipient. The risk of transport, damage, or loss of goods is fully borne by the buyer, who must verify the condition of the products upon receipt and make any necessary reservations in accordance with the commercial code.

Parcel Collection
Product collection is organized by Melcyden at the client’s request, who is responsible for packaging, protecting, and labeling the parcel. Melcyden cannot be held liable for damages occurring during parcel pickup at the client’s premises.
By sending products for repair, the client accepts Melcyden’s GTC and any costs related to the return of unrepaired equipment.

Incoterms
For all repairs and sales carried out by Melcyden, the Incoterm is EXW (Ex Works).

Return or Exchange of Goods
No product will be accepted for return or exchange without Melcyden’s written consent. Returns or exchanges are possible for any new, non-personalized, and unused equipment within 7 days following receipt by the client. The equipment must be returned postage paid to the address indicated by Melcyden France, in its original unopened packaging, with the completed return form, a copy of the invoice, and all accessories in perfect condition. In case of collection by Melcyden, shipping costs will be deducted from the credit note (€18 excluding VAT for parcels under 1kg and €30 excluding VAT for parcels over 1kg).

Warranty on Sold Goods
Goods sold by Melcyden are covered by the manufacturer’s warranty from the date of the invoice issued by Melcyden.

Force Majeure
Melcyden’s liability cannot be engaged in case of non-performance or delay in performance of its obligations resulting from a force majeure event. Force majeure includes any external, unforeseeable, and irresistible event under article 1148 of the French Civil Code.

Liability
Melcyden excludes all liability for bodily injury and material damages caused by repairs or sales performed by Melcyden.

Jurisdiction
Any dispute relating to the interpretation or execution of these general terms and conditions of sale is governed by French law. In case of failure to reach an amicable resolution, the dispute will be brought before the Commercial Court of Chalon-sur-Saône.

Modification of the GTC
Melcyden reserves the right to modify these GTC at any time, with prior notification to the client. The new conditions will apply to subsequent repair services between the two parties.
